Terms of Service

Last updated: October 5, 2026

Policy version: 2026-10-05 (effective 2026-10-05)

1. Agreement

By creating an account for the Service or using the Service, users are deemed to have agreed to these Terms of Service and the Privacy Policy. If a user does not agree, the user may not use the Service.

2. Definitions

  • "the Service": NoraPocket (a file management and AI analysis platform)
  • "the Company": NoraBit LLC
  • "User": an individual or corporation that has created an account for the Service
  • "Content": data that a user has uploaded to or created in the Service
  • "App": an "App" within the Service, meaning content that packages data types, Skills, Views, and the like. This is distinct from client apps such as the NoraPocket app or the iOS app

3. Overview of the Service

NoraPocket is a platform that provides file uploads, structured extraction, AI analysis, and suggestion generation. AI processing uses external APIs (Anthropic Claude API, Groq Whisper API for speech transcription, etc.). For details, please see the Privacy Policy.

The Service is provided for Japan, primarily for individuals residing in Japan and corporations in Japan. Its primary display language, commercial transaction design, governing law, and support are oriented to Japan, and the Service does not intentionally target (is not "directed at") residents or markets outside Japan, including the EEA and the UK.

4. Accounts

  • Users must provide accurate and up-to-date information when creating an account
  • Users are responsible for managing their account credentials (passwords, etc.)
  • If you discover unauthorized use of an account, please report it to the Company promptly
  • Creating multiple accounts for fraudulent purposes is prohibited (except where there are unavoidable circumstances, such as a change of email address)

5. Restrictions on Use

The following acts are prohibited.

  • Uploading content that violates laws and regulations or public order and morals
  • Uploading content that infringes the rights of third parties (copyright, privacy rights, etc.)
  • Unauthorized access to, reverse engineering of, or scraping of the Service
  • Excessive use of APIs or system resources (use exceeding the usage limits set by the Company)
  • Sending spam to, or engaging in nuisance behavior toward, third parties using the Service
  • Resale or onward sale of the Service without the Company's prior consent

6. Fees and Payment

The Service has a free plan and paid plans. Fees for paid plans are posted on the pricing page within the Service.

  • Paid plans are monthly and renew automatically (users will be notified in advance when annual plans become available)
  • Fees are charged in advance. Subscriptions made via the web are paid by credit card (Stripe), and subscriptions made via the iOS app are paid through Apple App Store In-App Purchase
  • Plans can be changed at any time from the settings screen. Upgrades take effect immediately, and downgrades apply from the next renewal date. Note that for subscriptions purchased through iOS App Store In-App Purchase, Apple's policies (under which cancellation and refunds are handled through Apple ID settings and requests to Apple) apply with precedence
  • As a rule, no refunds are given. However, in the event of a serious service outage or data loss caused by the Company's willful misconduct or gross negligence, or a termination of the Service for the Company's own reasons, the Company will handle the matter individually in accordance with Articles 10, 14, and 15
  • The Company may revise its fees. Revisions will be posted within the Service

7. Intellectual Property Rights

  • Intellectual property rights in content uploaded by users belong to the users
  • The Company holds a limited license to process content for the purpose of providing and improving the Service
  • The right to use results generated by AI analysis belongs to the user
  • Intellectual property rights in the Service's software, design, logos, etc. belong to the Company

8. Disclaimer Regarding AI Analysis

Please understand the following regarding the AI analysis features of the Service.

  • AI analysis results are reference information, and their accuracy, completeness, and timeliness are not guaranteed
  • Final responsibility for decisions based on AI analysis results rests with the user
  • Do not use AI analysis results as a substitute for professional judgment such as legal, financial, or medical advice
  • AI processing uses external APIs (Anthropic Claude API, Groq Whisper API for speech transcription, etc.) and may be affected by outages or policy changes of those external services
  • Of the data users enter or select in AI features, data sent via the Anthropic API is not used to train Anthropic's models (based on Anthropic's API terms of use). Audio and transcription data sent to Groq is not used for training or fine-tuning Groq's models unless the Company explicitly permits or instructs it, pursuant to Groq Services Agreement §4.2 (Inputs and Outputs) (the Company has not given Groq permission to use data for training). Data sent to other AI providers is handled in accordance with each provider's terms of use and privacy policy. The Company does not itself directly provide user data to external LLMs for training purposes. For details, please see the Privacy Policy

9. Availability of the Service

  • The Company does not guarantee continuous availability of the Service
  • The Service may be temporarily unavailable due to maintenance, system failures, outages of external services, etc.
  • Planned maintenance will be announced in advance whenever possible
  • Because the Company has not entered into a backup contract with immediate recovery, such as point-in-time recovery (PITR), for its database, it does not guarantee complete recovery of data. Details of responsibility for data storage and recovery are set out in Article 15

10. Scope and Limitation of Liability for Damages

10.1 Willful Misconduct or Gross Negligence

If the Company has acted with willful misconduct or gross negligence, the Company shall be liable for damages in accordance with applicable laws and regulations. The monetary cap set out in Section 10.2 of this Article does not apply to liability under this Section.

10.2 Liability Based on Ordinary Negligence (Slight Negligence)

In cases not falling under the preceding Section (where the Company is liable based on its ordinary negligence), the total amount of the Company's liability for damages shall be capped at the service fees paid by the user to the Company for the most recent 12 months as of the time the damage occurred.

10.3 Relationship with Mandatory Laws

Notwithstanding the preceding Sections, if the limitations in this Article are held invalid under the Consumer Contract Act or other mandatory laws, the Company shall be liable to the extent of such mandatory laws.

11. Account Suspension, Cancellation, and User Rights

11.1 User Rights

  • While using the Service, users can obtain their own data at any time using the in-Service download function (such as re-downloading individual uploaded files) and the bulk account data export function for authenticated users (which retrieves structured data in JSON format). As a rule, the Company does not provide individual data retrieval support. Please back up important data regularly while using the Service
  • Users can delete their account at any time from the settings screen, and by deleting it can withdraw their consent to data processing
  • Consent to AI features (sending data to external LLMs) can be withdrawn at any time from the settings screen of the iOS app. After withdrawal, AI features cannot be used, but features that do not use AI remain available
  • After an account is deleted, the Company will erase the related data promptly to the extent reasonably possible (the scope and limits of erasure are governed by the Privacy Policy)

11.2 Suspension and Deletion by the Company

  • If a user violates these Terms, the Company may suspend or delete the account without prior notice to the user
  • If unauthorized use is suspected, the Company may temporarily suspend the account for investigation

12. Changes to the Terms

The Company may revise these Terms as necessary. The revised Terms take effect when posted on this page. If a user continues to use the Service after a change, the user is deemed to have agreed to the revised Terms. When making changes that cause significant disadvantage to users, the Company will give advance notice in accordance with Article 13.

13. Method of Important Notices

Important notices from the Company to users (significant revisions to the Terms, termination of all or part of the Service, revisions to the fee structure, security incidents, important matters concerning data storage and recovery, etc.) will be given by one or more of the following methods. Users are obligated to keep their registered email address up to date.

  • Email sent to the registered email address
  • Notifications or View displays within the Service (web / iOS app)
  • Postings on the Service's landing page or on this page

14. Termination of the Service

The Company may terminate all or part of the Service due to business decisions, difficulty in continuing operations, discontinuation of external services, or other reasonable grounds. In the case of termination for the Company's own reasons, the following will apply.

  • As a rule, users will be notified by the methods in Article 13 at least 30 days before the scheduled termination date (however, the notice period may be shortened where there are unavoidable circumstances, such as force majeure, a serious security event, or sudden discontinuation of an external service)
  • During the period from the notice to the termination date, and for a further 30 days after the termination date (in principle, 60 days in total), the Company will, to the extent possible, maintain the means by which users can use the in-Service download function and the bulk account data export function (JSON format) to obtain structured data in Supabase, the files themselves in Cloudflare R2, and user data to be stored in Cloudflare Durable Objects in the future (including P2 agent_run_events content, P3 chat content and turn state, and P4 gadget storage). As a rule, individual data retrieval support is not provided, so please take your own backups while using the Service
  • For paid plan subscribers, fees corresponding to the unexpired period after the termination date will be refunded on a monthly pro-rata basis (or by another reasonable pro-rating method according to the billing cycle). The refund method and timing will be announced together with the notice
  • After the 30-day post-termination access grace period above has elapsed, user data held by the Company (including chat content and turn state, agent_run_events content, and gadget storage to be stored in Cloudflare Durable Objects in the future) will be erased promptly to the extent reasonably possible

15. Responsibility for Data Storage and Recovery

The storage and recovery of user data are set out as follows.

  • User data is stored encrypted as follows: structured data (account information, records, templates, Skill settings, AI processing results, etc.) in Supabase / AWS Tokyo region (ap-northeast-1), and the files themselves uploaded by users (images, PDF, Word, Excel, audio, etc.) and intermediate output files of AI processing in Cloudflare R2. If Cloudflare Durable Objects is used in the future, P2 agent_run_events content, P3 chat content and turn state, P4 gadget storage, connection information for external services, the temporary execution state of an agent run (the identifiers, status, and result of one attempt), and the results of chat sub-agents will likewise be user data subject to the same export and deletion. Health data such as HealthKit data and observation data will continue to remain in the Tokyo region, and access logs, operational logs, and analytics are handled separately from this user data classification. When a user opens an HTML app distributed through Apps, the user acknowledges that the app runs on a dedicated origin separate from the Company's, and that, through the browser's WebRTC functionality, the user's IP address may be exposed to third parties such as STUN servers and a small amount of data (including Pocket responses and session information obtained by that app) may be sent externally over the same path. For details, please see the Privacy Policy
  • The Company has not currently entered into backup contracts with immediate recovery, such as point-in-time recovery (PITR), for either the Service's database (Supabase) or its object storage (Cloudflare R2). Accordingly, the Company does not guarantee complete recovery from loss of or damage to data caused by external failures, operational errors, external attacks, natural disasters, etc.
  • For data that is important for business or personal purposes, users are strongly encouraged to take regular backups at their own responsibility using the in-Service download function and the bulk account data export function (JSON format) (as a rule, the Company does not provide individual data retrieval support)
  • If user data is lost or damaged due to the Company's willful misconduct or gross negligence, the Company will respond to such damage in good faith in accordance with Section 10.1 of Article 10 (which may include a good-faith investigation of the cause, an explanation of measures to prevent recurrence, and appropriate compensation or a refund; the response under this item is not subject to the monetary cap in Section 10.2 of Article 10)

16. Beta and Experimental Features

The Company may provide some features of the Service as beta, preview, or experimental features. These features are provided as-is, with no guarantee of stability, continued availability, or backward compatibility. The Company may change their specifications or discontinue them without notice.

17. Transfer of Contractual Position (Business Transfer)

If the operator of the Service changes due to a merger, company split, business transfer, or other reason, the Company may, after giving users advance notice by the methods in Article 13, have the counterparty to such change succeed to the Company's position under these Terms, its rights and obligations under these Terms, and the information obtained from users. Users consent to this in advance.

18. Exclusion of Anti-Social Forces

Users represent and warrant that they are not an organized crime group (boryokudan), a member of an organized crime group, a quasi-member of an organized crime group, a company affiliated with an organized crime group, a corporate racketeer (sokaiya), a person engaging in criminal activities under the pretext of social movements, a specialized intellectual crime group, or any other person equivalent to any of these (hereinafter "Anti-Social Forces"), and that they have no business or funding relationships with Anti-Social Forces. If a violation of this is discovered, the Company may suspend or delete the account without prior notice.

19. Force Majeure

The Company shall not be liable for any delay in or disruption of the provision of the Service caused by natural disasters, war, terrorism, riots, epidemics of infectious diseases, orders or regulations of government agencies, interruptions of telecommunications lines or power, outages of external services (Supabase / Cloudflare / Vercel / Anthropic / Groq / Stripe / Apple / PostHog / Google, etc.), or other events beyond the Company's reasonable control.

20. Long-Term Inactive Accounts

For free plan accounts with no login or API access confirmed for 24 months or more, the Company may delete the account and related data after giving advance notice by the methods in Article 13. Paid plan subscribers are excluded from this Article.

21. Use by Minors

  • Persons under 13 years of age may not use the Service
  • Persons aged 13 or older and under 18 must obtain the consent of a person with parental authority or a legal representative before using the Service. Creating an account and using the Service are deemed to have been consented to by the person with parental authority or equivalent

22. API Use and Fair Use

To ensure stable provision of the Service and to manage the costs of external APIs (Anthropic Claude API, etc.), the Company may set reasonable usage limits on the number of API calls, storage usage, AI processing volume, number of concurrent connections, etc. Specific limit values are as stated in the documentation within the Service or in the pricing plan descriptions. The Company may revise the limits after giving advance notice.

23. Use from Outside Japan and Cross-Border Transfer

The Service is provided for Japan, primarily for residents of Japan. When using the Service from outside Japan (the EEA / the UK / the US or other regions), compliance with the local laws of that region is the user's responsibility. The fact that the Service can be accessed from outside Japan does not mean that the Company provides the Service to, or directs it at, that region.

Because the Service uses service providers located in the United States for data processing (Anthropic / Groq / Vercel / Sentry / Stripe / Apple (where iOS IAP applies) / PostHog / Cloudflare / Google, etc.), user data is transferred outside Japan (mainly to the United States). By using the Service, users are deemed to have consented to such cross-border transfer. For the latest and accurate list of service providers and the details of the data each handles, please see the Privacy Policy.

24. Governing Law and Court of Competent Jurisdiction

These Terms are governed by and construed in accordance with the laws of Japan. For any dispute relating to these Terms, the Tokyo District Court shall be the court of exclusive agreed jurisdiction for the first instance.

25. Severability

Even if any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue to remain in effect.

26. Contact
